Terms & Conditions for Shop Owners

1. Acceptance of Terms

These Terms & Conditions (the "Terms") govern the access to and use of the Goloco mobile and web application and all related services (the "Service") by shop owners and businesses ("you", "Shop Owner"). The Service is operated by Goloco ("Goloco", "we", "us", "our"). By registering as a Shop Owner, creating a shop profile, or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not register or use the Service.

2. Eligibility & Authority

You represent and warrant that you are at least 18 years old, that you have the legal capacity to enter into a binding agreement, and that you are duly authorised to act on behalf of the business you register. You are solely responsible for the accuracy of all information you provide about your shop, including its name, category, logo, branches, and contact details.

3. The Service

Goloco provides a platform that allows Shop Owners to create, distribute, and manage digital discount coupons and promotional offers, and to make these discoverable by nearby customers based on their location. The Service includes tools to track coupon claims, validate redemptions, purchase credits, run advertisements, and view analytics. Goloco may modify, suspend, or discontinue any feature of the Service at any time without notice and without liability.

4. Shop Owner Responsibilities

As a Shop Owner you agree to:

• Maintain the confidentiality and security of your account credentials.
• Provide true, accurate, current, and complete information about your business.
• Keep your coupon content, offers, and pricing accurate and lawful.
• Honour every coupon you publish in accordance with its stated terms, validity, and usage limits.
• Comply with all applicable laws, regulations, and consumer protection rules in your jurisdiction.
• Not use the Service for any fraudulent, misleading, unlawful, or abusive purpose.
• Not attempt to access, alter, or interfere with the Service, its data, or other users' accounts.

5. Coupons, Claims & Redemptions

You are solely responsible for the discounts, validity periods, usage limits, and redemption terms of every coupon you create. You must honour any validly claimed coupon presented by a customer in accordance with its terms. Goloco only facilitates the distribution and validation of coupons and does not guarantee that any coupon will be claimed, redeemed, or generate sales. Goloco is not a party to the transaction between you and your customers and bears no responsibility for the fulfilment of any discount or offer.

6. Credits, Subscriptions & Payments

Certain features of the Service are consumed against credits, which may include a free monthly allowance and optional paid top-ups or subscriptions. All payments are processed by a third-party payment provider (Stripe). Paid amounts are generally non-refundable except where required by law. Goloco may change pricing, credit allowances, or subscription terms at any time, with changes taking effect for the next billing cycle. We may suspend or restrict access to paid features if payment fails or if your account is in breach of these Terms.

7. No Guarantee of Results

The Service is provided on an "as is" basis. Goloco does not guarantee any specific outcome from using the Service, including any number of coupon claims, customer visits, sales, revenue, or business growth. Results may vary based on your offers, location, market conditions, and other factors outside Goloco's control.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, Goloco disclaims all warranties, including any implied warranty of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any data will be preserved without loss.

9. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Goloco, its directors, officers, employees, affiliates, or partners be liable to you or any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, loss of revenue, loss of business, loss of goodwill, loss of data, or any other loss or damage arising out of or in connection with your use of, or inability to use, the Service — whether based on contract, tort (including negligence), strict liability, or otherwise — even if Goloco has been advised of the possibility of such damages. Goloco's total aggregate liability for any claim arising out of or relating to the Service shall not exceed the total amount you have paid to Goloco in the three (3) months preceding the claim, or, if you have not made any payment, the sum of USD $1.00.

10. Indemnity

You agree to indemnify, defend, and hold harmless Goloco and its directors, officers, employees, affiliates, and partners from and against any and all claims, demands, actions, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; (d) the content of your coupons, profile, or advertisements; or (e) any dispute between you and a customer or any other user. This indemnity survives the termination of your account and these Terms.

11. Assumption of Risk

You acknowledge that you use the Service at your own risk and that you are solely responsible for any decisions made or actions taken based on information, analytics, or features provided by the Service. You are responsible for the operation of your own business, including honouring coupons, staffing, and compliance with consumer protection laws.

12. Content & Intellectual Property

You retain ownership of the content you upload (logos, images, coupon text). You grant Goloco a worldwide, royalty-free, non-exclusive licence to use, reproduce, and display that content solely for the purpose of operating and promoting the Service. You warrant that you own or have the right to use all content you upload and that it does not infringe the rights of any third party. All Goloco branding, software, and platform features remain the property of Goloco.

13. Account Suspension & Termination

Goloco may suspend, restrict, or terminate your account and remove your content at any time, with or without cause or notice, if we believe you have breached these Terms or applicable law, or to protect the Service or other users. You may delete your account at any time from within the app. Upon termination, your right to use the Service ceases immediately; sections relating to liability, indemnity, and ownership of content survive termination.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms at goloco.me/tc. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Govering Law

These Terms are governed by the laws of the United Kingdom, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
